Why contract translation is driven by obligations, definitions, and cross-references

A contract allocates rights, duties, risk, payment, timing, remedies, and responsibility between parties. The translation therefore needs to preserve not only individual sentences but also the relationship between defined terms, clauses, schedules, and references elsewhere in the agreement.

Legal concepts do not always have one-to-one equivalents between jurisdictions. A familiar U.S. term may carry consequences that the source-language concept does not, so terminology should be chosen for accuracy rather than familiarity alone.

The translated contract should retain numbering, defined terms, dates, amounts, party names, notice provisions, governing-law references, and annexes. It should not silently modernize or simplify language if that changes the allocation of rights or obligations.

Can contract clauses be rewritten to match U.S. law?

Not in a faithful translation. Defined terms, obligations, remedies, governing-law clauses, and cross-references should reflect the source contract. Legal adaptation or redrafting is a separate legal task.

How are defined terms, schedules, and exhibits handled in a contract translation?

They should stay synchronized with the main agreement. A defined term must be used consistently, and references to an exhibit, appendix, or numbered clause should continue to point to the correct place in the translated document.
